1. Acceptance of Terms

By accessing or using our website at payloadsteel.com (the "Site"), mobile application, or any other services we provide (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Changes to Terms

We may modify these Terms at any time. If we make changes, we will provide notice of such changes, such as by sending an email notification, providing notice through the Services, or updating the "Last Updated" date at the beginning of these Terms. Your continued use of the Services following notification of changes will constitute your acceptance of such changes. If you do not agree with any modifications to these Terms, you must immediately stop using the Services.

3. Account Registration

To access certain features of the Services, you may be required to register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and to update such information as necessary. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

You are responsible for the User Content that you post on or through the Services, including its legality, reliability, and appropriateness.

By posting User Content on or through the Services, you grant us the right to use, modify, publicly perform, publicly display, reproduce, and distribute such User Content on and through the Services. You retain any and all of your rights to any User Content you submit, post, or display on or through the Services, and you are responsible for protecting those rights.

5. Marketplace Rules

As a marketplace for steel products, we have specific rules that govern buying and selling activities:

• Listings: All listings must accurately describe the steel products being offered, including type, quantity, dimensions, condition, and price.
• Prohibited Items: You may not list stolen goods, counterfeit products, or any items that violate applicable laws.
• Transactions: We are not a party to transactions between buyers and sellers. We do not transfer legal ownership of items from the seller to the buyer.
• Fees: We may charge fees for certain aspects of our Services. You agree to pay all fees and charges that you incur.
• Disputes: Buyers and sellers are responsible for resolving disputes between themselves. We may offer tools to facilitate dispute resolution, but we are not obligated to do so.

6. Prohibited Uses

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

IN NO EVENT WILL WE, OUR AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Indemnification

You agree to defend, indemnify, and hold harmless us, our affiliates, licensors, and service providers, and our and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

11. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of the State of Illinois, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Illinois, in each case located in the City of Chicago and County of Cook.

12. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Services, or notify us that you wish to delete your account.

13. Entire Agreement

These Terms constitute the entire agreement between you and us regarding the Services and supersede all prior and contemporaneous written or oral agreements between you and us.
